5 Key Changes in the Commercial Register

The new Commercial Register Act, approved on the 3rd of February 2026, introduces a fundamental shift in how companies are established, operate, and interact with the state. It will enter into force on the 17th of August 2026 and will impact not only the Commercial Register but also other key legislation.

This is not a cosmetic update. The changes represent a shift toward greater professionalism, stronger legal certainty, but also higher demands on businesses.

 

The End of Formalities, the Start of Legal Scrutiny

The current model of signature verification will be replaced by a requirement for substantive legal review. Selected documents will need to be executed in the form of a notarial deed or authorised by a lawyer, who will also be responsible for their compliance with the law.
 



More Flexible Corporate Structure

The removal of the prohibition on chaining will allow for easier creation of holding structures, management of multiple entities, and more efficient expansion or project exits.

 


Reservation of Business Name

A new option will allow companies to reserve a business name for 60 days for a fee of EUR 50. This enables businesses to start building their brand even before the company is officially established.

 


Faster Processes and Greater Control

Filings to the register will be limited to authorised persons (statutory bodies, lawyers, notaries). At the same time, the role of notaries will be strengthened, as they will be able to carry out registrations directly—potentially speeding up the entire process.

 


Stricter Rules for Corporate Transformations

An insolvency test will be introduced to prevent transformations that could lead to the indebtedness of the successor company. The rules will also reflect the specific situation of startups financed through internal resources.
 



What It Means in Practice

The changes will bring higher quality and greater legal certainty, but also increased demands on document preparation, more administration, and possible higher costs.
